1. Acceptance of Terms
By accessing and using DOCLIO (the "Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by these Terms, please do not use this Service. These Terms are governed by the laws of Queensland, Australia, and the Commonwealth of Australia, without regard to conflict-of-law principles. You agree to submit to the non-exclusive jurisdiction of the courts of Queensland, Australia for any dispute arising out of these Terms.
2. Description of Service
DOCLIO is a cloud-based project management and construction workflow platform ("Service") that enables users to manage construction projects, collaborate with teams, track drawings, annotations, defects, reports, and related documentation. The Service is provided by Littlebird Australia Pty Ltd ABN 83 111 099 775 (trading as "Doclio") ("Company", "we", "us", or "our").
3. User Accounts and Eligibility
3.1 Account Registration
To use the Service, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.2 Eligibility
You represent and warrant that you are at least 18 years of age and have the legal authority to enter into these Terms. If you are using the Service on behalf of an organisation, you represent that you are authorised to do so.
4. Subscription & Billing
4.1 Subscription Plans
The Service is offered under subscription plans with different limits on active projects, archived projects, drawings/documents, storage, and AI credits. Pricing and plan details are displayed during checkout and on our pricing page.
4.2 Payment Processing
Payments are processed securely through Stripe. By providing payment information, you authorise us to charge your selected payment method. Stripe processes payments in accordance with their own terms of service.
4.3 Billing Cycle & Renewal
Subscriptions renew automatically at the end of each billing period unless you cancel beforehand. You can manage or cancel your subscription at any time via the billing page in your account settings or the Stripe-hosted customer portal linked from the app.
4.4 AI Credits & Top-Ups
Each plan includes a monthly AI credit allowance that resets each billing period. Unused included credits do not roll over. You may optionally purchase one-time credit top-up packs; purchased top-up credits roll over indefinitely until consumed. AI credits are not refundable once granted.
4.5 Refunds & Consumer Guarantees
Nothing in these Terms limits or excludes any non-excludable consumer guarantees you have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) or equivalent legislation in your jurisdiction. In addition, we offer discretionary refunds on the first paid subscription charge within 30 days of purchase where the Service has been substantially unused, and pro-rated refunds on annual subscriptions cancelled mid-term. AI credits and capacity overage charges, once issued, are non-refundable. Refund requests should be submitted via our Help Centre. 5. Intellectual Property Rights
5.1 Company IP
The Service, including all underlying code, design, functionality, and content provided by the Company, is the proprietary property of Littlebird Australia Pty Ltd ABN 83 111 099 775 (trading as "Doclio") and is protected by copyright, trademark, and other intellectual property laws.
5.2 Your Data and Content
You retain full ownership of all data, documents, drawings, annotations, reports, and other content you upload or create within the Service ("Your Content"). You grant us a limited, non-exclusive licence to host, process, and display Your Content solely to provide the Service to you and other authorised users you have chosen to share it with.
5.3 Licence Grant
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable licence to access and use the Service for your internal business purposes during your active subscription period.
6. Acceptable Use
You agree not to:
- Use the Service for any illegal, fraudulent, or harmful purpose
- Attempt unauthorised access, hack, or otherwise compromise the Service
- Reverse engineer, decompile, or attempt to derive the source code
- Transmit viruses, malware, or harmful code
- Violate intellectual property rights of third parties
- Upload content that is defamatory, obscene, or violates privacy rights
- Disrupt service availability or performance
- Remove or alter any proprietary notices or labels
- Abuse our AI features (for example, by scripting high-volume queries designed to exhaust credits beyond normal business use)
7. Data Protection & GDPR Compliance
7.1 General Data Protection
The processing of personal data in connection with the Service is governed by our separate Privacy Policy. By using the Service, you consent to the collection and processing of personal data as described there.
7.2 GDPR
For users in the EU/UK, the Service is designed to comply with the General Data Protection Regulation (GDPR). You have rights regarding your personal data, including the right to access, correct, delete, and port your data. See the Privacy Policy for details.
7.3 Data Security
We implement industry-standard security measures to protect your data, including encryption in transit and at rest. However, no method of transmission over the internet is 100% secure; we cannot guarantee absolute security.
8. Limitation of Liability
8.1 Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. AI-generated responses, including drawing revision comparisons and project queries, are provided for informational purposes only and must be independently verified before acting on them; they do not constitute professional, legal, engineering, or construction advice.
8.2 Liability Cap
TO THE FULLEST EXTENT PERMITTED BY LAW, LITTLEBIRD PTY LTD (trading as Doclio) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE PRECEDING 12 MONTHS.
9. Termination
9.1 Termination by You
You may cancel your subscription at any time from your account settings or by contacting our Help Centre. Cancellation takes effect at the end of your current billing period.
9.2 Termination by Us
We may suspend or terminate your account if you materially violate these Terms or engage in abusive or fraudulent activity. We will provide notice except where immediate termination is necessary for security or legal reasons.
9.3 Effects of Termination
Upon termination, your right to use the Service ends. Your data may be retained in backups for a limited period before deletion, unless longer retention is required by law. You may request a data export at any time prior to termination.
10. Changes to Terms
We reserve the right to modify these Terms from time to time. Material changes will be communicated to you via email or prominent in-app notice. Your continued use of the Service following the effective date of revised Terms constitutes acceptance of the changes.
